Master Services Agreement

1. Definitions

  • Deliverables: Work product described in Statements of Work.
  • SOW: A Statement of Work executed by authorized representatives referencing this Agreement.
  • Services: Activities Provider performs pursuant to executed SOWs.
  • Confidential Information: Non-public commercial, technical, or operational information exchanged under this Agreement, marked or reasonably understood as confidential.

2. Master structure

Individual SOWs describe scope, timelines, milestones, acceptance testing, pricing, invoicing mechanics, assumptions, exclusions, personnel, SLAs where applicable, and change control procedures. Conflict resolution: Specific SOW terms control over this Agreement solely for conflicting provision text in that subject matter; otherwise this Agreement supplements.

3. Provision of services

3.1 Standard of performance. Provider renders Services materially in conformance with descriptions in executed SOWs using commercially reasonable diligence.

3.2 Compliance. Parties comply with statutes, regulations, contractual obligations materially affecting engaged Services notified in writing beforehand. Specialized regulated industries remain subject to supplementary counsel-crafted exhibits unavailable in boilerplate drafts.

4. Acceptance

Client reviews Deliverables outlined in respective SOWs. Acceptance occurs when Deliverables materially satisfy Acceptance Criteria after testing windows described - or Client waives objections in writing. Latent substantive defects surfaced within [POST_DELIVERY_RECTIFICATION_WINDOW_DAYS] days may require remediation timelines consistent with Severity definitions in Exhibit scheduling.

5. Fees; taxes; invoicing

5.1 Fees. Client pays Fees per corresponding SOW. Pass-through reimbursables (equipment, SaaS billed at cost plus agreed handling, travel pre-approved only) reimbursed with receipts.

5.2 Taxes. Fees exclude legally applicable indirect taxes collectible by Provider where reverse-charges do not operate.

5.3 Late payment. Payments not disputed in good faith within [LATE_PAYMENT_GRACE_DAYS] days incur [LATE_PAYMENT_CHARGE_DESCRIPTION].

6. Confidentiality

Each Party shields the other's Confidential Information for [CONFIDENTIALITY_TERM_YEARS] years using safeguards not less protective than sensible measures for analogous materials. Disclosure permitted to employees/contractors with need under binding secrecy; compelled statutory disclosures exempt when notice (if lawful) afforded.

7. Ownership and license

Except where a SOW states otherwise:

7.1 Client data & inputs retain Client ownership - Provider obtains license solely to furnish Services including derivative analytics outputs attributable to aggregated metrics without re-identifying Clients.

7.2 Existing materials belonging to Provider pre-execution remain Provider property; incidental embedded libraries remain under upstream licenses mirrored to Client consistent with redistribution limitations.

8. Warranties; disclaimer

8.1 Mutual. Each Party represents it validly binds itself.

8.2 Disclaimer. Except where statutes prohibit exclusion, Provider disclaims implied warranties merchantability fitness for purpose.

9. LIMITATION OF LIABILITY

To maximum extent permissible: aggregate liability (excluding breaches of confidentiality, willful misconduct, unpaid fees, bodily injury wrongful death statutes) capped at [LIABILITY_CAP_FORMULA]; neither Party liable for consequential indirect incidental special punitive reliance damages - even if foreseeable.

10. INDEMNITY

Indemnification scope should be calibrated by counsel. Placeholder symmetrical indemnity carve-outs referencing third-party infringement arising solely from materially modified Provider deliverables wrongly attributed back to untouched baseline may appear here contingent on counsel-approved risk posture.

11. Privacy and data processing

Operational processing particulars belong in annexes - not generic templates - including cross-border transfers, subprocessors enumeration, DPIA prerequisites, PHI/PCI segregation, minors' data bans, lawful ML training prohibitions absent explicit authoring.

12. Termination

Material uncured breaches after [CURE_NOTICE_DAYS] days - or insolvency petitions not dismissed - instantiate remedies including suspension acceleration of undisputed arrears mutually balanced by partial refund for unused prepaid fractional periods when fairness counsels adjustments.

Survival: confidentiality indemnity accrued payment audited audit trail dispute resolution disclaimers accrued IP license narrow carry-forwards enumerated by counsel persist.

13. Disaster / continuity

Parties maintain reasonable backup regimes; ransomware cooperation expectations described in Exhibit optional.

14. Governance and dispute resolution

Agreement governed by California law excluding conflicts doctrines. Venue: [VENUE_COUNTY_SUPERIOR_OR_OTHER]. Negotiation escalate → mediation → binding arbitration or litigation per counsel-approved election.

15. Miscellaneous
